These general conditions (the “Terms and Conditions”) regulate access to and use of the services offered by Nova Capital S.r.l. — Benefit Company (hereinafter”Finanz”), a limited liability company established under Italian law, with registered office in Via Albarina 11B, 20020 Vanzaghello (MI), Tax Code and VAT number 12358930969.
The services are made accessible through the Finanz websites and related mobile applications (together, the “Services”), as well as through the services and functionalities connected to them.

Finanz is a digital e-learning platform dedicated to financial education, which provides information content, educational materials and interactive tools aimed at promoting the understanding of economic issues and the personal management of financial resources (hereinafter, the”Service”). The mobile application can be downloaded free of charge and allows access to digital content, interactive features and related services.

The Service is for educational and informational purposes only. The information and tools made available do not constitute, under any circumstances, personalized financial advice, individual recommendations, requests or offers to buy, sell or hold financial instruments, nor invitations to carry out investment transactions or other legal commitments pursuant to current legislation (including Legislative Decree 58/1998 - “TUF” - and Directive 2014/65/EU - “MiFID II”). Finanz is not a credit institution, it is not a SIM or other authorized intermediary and it does not hold or manage the capital of users who can carry out investment initiatives, solely and in total autonomy with third-party intermediaries, outside the Finanz platform, without Finanz being able to be minimally involved in these transactions.
Any returns reported in the information sections are purely didactic in nature and if they refer to the past, they are taken from public information made available to everyone and are not necessarily indicative of future ones, but represent a mere representation of strategies adopted and being adopted.

The Services provided to users do not fall within the specific investment advisory service referred to in art. 1, paragraph 5-septies, of Legislative Decree no. 58 of 24 February 1998, nor are they part of other investment services subject to a legal reserve, but, as has been reiterated several times, in the generic financial planning service. Although the contents provided by Finanz are precisely aimed at the independent processing by the customer of these same activities, the company does not offer these activities directly, but provides contents and tools aimed at making the customer autonomous and free in their performance, thus assuming every type of risk deriving from the losses resulting from their choices.

As part of the training course, the User is shown the best practices to get to carry out, himself and independently, his own financial planning activity connected to the elaboration of a conscious investment project. Therefore, the tools used are always intended for informational, training and example purposes.

The Service also includes a conversational module based on artificial intelligence that offers ideas, reflections and self-assessment tools related to money management. These contents are for educational and general orientation purposes only and do not constitute personalized recommendations, requests or invitations to carry out transactions on specific financial instruments. The User uses such content with caution and under his sole responsibility.

The Service is intended for adult users; minors can use it only with the consent and supervision of the parent/guardian, without prejudice to the minimum age of 14 years to join the services offered. The User is responsible for the accuracy of the information provided, for the safekeeping of the credentials and for any activity carried out through their account.

The Service may allow access to services and content offered by third parties (e.g. comparison, subscriptions, insurance, cashback and similar services), also through WebView. Finanz acts exclusively as an access platform or showcase and does not enter into the contractual relationship between the User and the third-party provider; the relevant contract is concluded directly between the User and the third party, without obligations, joint liability or technical support obligations on the part of Finanz. The User reviews and accepts the terms and conditions of third parties before use. Finanz does not guarantee the operation, availability, continuity, correctness, quality or benefits of third-party services and is not responsible for malfunctions, delays, errors, interruptions or loss of data attributable to third parties, nor any limitations or exclusions of use adopted by third-party providers (e.g. functionality or restrictions on minors). Any data shared with third parties as part of these integrations are processed according to the policies of the respective suppliers.

Finanz reserves the right, at its sole discretion and at any time, to update, modify, suspend, make improvements or interrupt, in whole or in part, any aspect of the Service, both temporarily and permanently. Where reasonably possible, reasonable notice will be provided to Users in the event of significant changes or interruptions.

Finanz undertakes to adopt appropriate and proportionate technical and organizational measures to promote continuous and secure access to the Service and to protect the data processed; however, it is understood that the absolute absence of interruptions, errors, vulnerabilities or cyberattacks cannot be guaranteed.

The use of the Service is reserved for Users with a minimum age of 14 years. Finanz takes reasonable and proportionate measures, compatible with the nature of the Service and with the available technologies, aimed at preventing minors from accessing sections that involve viewing content or investment services, even through redirection to external platforms. These measures include, among other things, verification systems based on the date of birth declared by the User and the implementation of information alerts that indicate the obligation of legal age to proceed.

It is understood that Finanz cannot guarantee the absolute effectiveness of these systems, nor can it directly verify the authenticity of the information entered by the User. The possible entry of false or inaccurate data by a minor does not in any way authorize conscious access to investment services, which remain subject to identification and age verification checks carried out by third-party suppliers. The contractual relationship and the use of investment services offered by third-party platforms are established exclusively between the User and the relevant supplier, according to the terms and conditions prepared by the latter, including identification and personal verification mechanisms. Finanz assumes no responsibility for the results of the checks carried out by third-party suppliers, nor for the possible use of the services by minors who have provided untrue data, except in cases of intent or gross negligence attributable to Finanz.

The use of the Basic Service is free of charge. Finanz also offers a paid model that allows Users to access additional features, advanced tools and exclusive content, as indicated when subscribing to the subscription. If the User purchases a periodic subscription with automatic renewal through the Service, the subscription will be renewed continuously until the User cancels it. After the initial subscription period, and again after each subsequent subscription period, the subscription will automatically renew for an additional equivalent period. If you do not want your subscription to renew automatically, or if you want to change or end your subscription, you will need to log in to your Finanz account and follow the instructions to end or change your subscription before renewing.
Finanz reserves the right to change, at any time, the prices of the goods and services offered, after notifying the User with a minimum notice of 60 (sixty) days. In the event of a price change, the User will have the right to withdraw from the contract and interrupt the use of the Services without any burden, exercising their right of withdrawal within the deadline indicated in the communication.

All financial transactions made in connection with the Service will be processed by Stripe, Inc., a U.S. electronic payment service provider, in accordance with their respective terms of use, privacy policy and/or any applicable payment terms and conditions. The User is invited to review Stripe's practices and policies. Under no circumstances will Finanz be responsible for actions, omissions, malfunctions, interruptions of the payment service or downtime attributable to Stripe or other third parties responsible for processing payments.

The information, products, data, services, tools and documents contained or described in the Services are for informational purposes only and are not intended as a substitute for the investment advisory service referred to in art. 1, paragraph 5-septies, of Legislative Decree no. 58 of 24 February 1998, subject to a legal reserve.
The information made available through the Services is for training and dissemination purposes only. They do not constitute, either directly or indirectly, promotional or advertising activities, nor do they represent an offer, a solicitation, a personalized recommendation or an invitation to buy or sell financial instruments or to carry out investment transactions or other legal commitments. The products and financial instruments, as well as the studies mentioned in the Services, are not intended to replace professional advice, due to the standardization proposed by the Service, therefore, are not to be considered suitable or an index of success for no investment.
The information contained in the Services does not constitute a financial, legal, fiscal opinion and/or recommendation of any other nature.
Investment or other decisions should not be made solely on the basis of such information, as the latter must be considered solely as a training and support tool in a financial education path.

The User acknowledges and accepts that he is solely and exclusively responsible for any use of the Services, even if made by third parties through his account, as well as for any consequence, damage or prejudice that may result from it. Finanz cannot in any way be held responsible for an improper, unauthorized or otherwise different use from what is indicated in these Terms and Conditions. It is the User's responsibility to take all appropriate measures to ensure the confidentiality and protection of their login credentials.

In connection with the registration and use of the Service, the User agrees (i) to provide accurate, updated and complete information pertaining to their personal sphere, to the extent requested by Finanz; (ii) to maintain the confidentiality of their password and other information related to the security of their account; (iii) to maintain and promptly update all registration information provided to Finanz, in order to keep such information accurate, updated and complete; and (iv) to be fully responsible for all the uses of your account and all the actions that take place through your account.

The User undertakes to:1. Access and use the Services in accordance with these Terms and Conditions and all applicable laws, rules and regulations.2. Do not alter, copy, modify, or interfere in any way with the software and Services, including but not limited to decompilation, disassembly, reverse engineering, system breaches, or other conduct likely to compromise the security, functionality, or integrity of the Services.3. Do not use the Services improperly, fraudulently or in any way that causes harm to Finanz, other users or third parties.4. Take all reasonable steps to maintain the security and functionality of the Services, including your account login credentials.5. Do not engage in activities that may hinder or compromise the provision of the Services or the experience of other users.

To the maximum extent permitted by applicable laws and regulations, Finanz, its directors, agents, employees and contractors assume no responsibility for losses or damages of any nature deriving from (i) accessing, using or consulting the Services; (ii) any inaccuracies, errors, omissions or incompleteness in the contents of the Services; (iii) the inability to access or use the Services for any reason. This limitation of liability does not exclude or limit the liability of Finanz for intent or gross negligence, in cases where the law provides for its application. The User acknowledges and accepts that the use of the Services is at their own risk and that Finanz does not guarantee that the Services are error-free, continuous, uninterrupted or secure.

Pursuant to the Consumer Code (Legislative Decree 206/2005 and subsequent amendments), the User has the right to withdraw from the paid subscription contract within fourteen (14) days from the end of the registration, without having to provide any reason. The withdrawal can be exercised by written communication to Finanz through the channels indicated in the Service. If the right of withdrawal is exercised within the deadline indicated above, Finanz will reimburse the User all sums that may have already been paid relating to the subscription period not used, in the manner provided for by current legislation. If the paid subscription starts after a free trial period, the right of withdrawal starts from the date of the start of the paid subscription. During the free trial period, the User can cancel the subscription without any charge. Except as provided by the right of withdrawal within 14 days, Finanz does not provide further refunds or credits for payments already made or for partially used subscription periods. Notwithstanding the foregoing, Finanz may grant, at its sole discretion and after evaluating the specific case, any refunds or credits, which will not constitute in any previous way binding for other cases, even if similar. In case of cancellation of the subscription by the User, access to the Service will be guaranteed until the end of the current billing period, unless the right of withdrawal is exercised in accordance with the previous paragraphs.

Finanz reserves the right to index or indicate links to third-party Services, advertisers, services, special offers or other events or activities that are not owned or controlled by Finanz. Finanz does not approve or assume any responsibility for such third-party sites, information, materials, products or services. The mere indexing or indication of links to third-party services, advertisers, services, special offers or other events or activities not related to the sphere of ownership or control of Finanz, does not imply that what is expressed, the thoughts or messages underlying them, are a direct or indirect expression of the more general thought of Finanz. If the User accesses third-party services or content from Finanz, he is aware that these Terms and Conditions and our Privacy Policy do not extend and therefore apply to the use of these sites. The User expressly acknowledges and accepts that Finanz will not be responsible, directly or indirectly, for any damage or loss deriving from the use of third-party Services, services or content.

Finanz reserves the right to modify, update, suspend or repeal, in whole or in part, these Terms and Conditions at any time. The changes can be classified as:Minor changes, intended as updates of a technical nature or of mere clarification that do not affect the User's main rights or obligations. These changes will be communicated to the User by updating the Terms and Conditions available on the site https://finanzapp.io or in the User's account area, without the need for explicit acceptance.

Substantial changes, understood as changes that affect rights, obligations, costs, methods of using the Service or processing of personal data. In such cases, Finanz will give written notice to the User through the registered e-mail address or through in-app notification, clearly stating the changes made. The User must provide explicit acceptance of the changes by confirming consent (clicking on “I accept” or equivalent procedure) before continuing to use the Service. The User who does not intend to accept the substantial changes has the right to withdraw from these Terms and Conditions within sixty (60) days from receiving the communication, exercising the right through the channels indicated in the Service. In case of non-acceptance and failure to exercise the withdrawal, access to the Service may be suspended until explicit consent is provided.

It remains without prejudice to the provisions of the applicable consumer protection regulations, which prevail over what is established in these Terms and Conditions.

All content available through the Service, including, by way of example and not limited to, projects, texts, graphics, images, information, software, audio files and any other resource, as well as the relative selection and arrangement, are the exclusive property of Finanz or its licensors and constitute intellectual works protected by current legislation on copyright and intellectual property. The User is prohibited from modifying, copying, distributing, reproducing, transmitting, publishing, selling or exploiting in any way, in whole or in part, the contents of the Service, unless specifically authorized by Finanz. Likewise, the use of data mining techniques, robots, scraping or other automated systems aimed at extracting or collecting data is prohibited. All data, information and materials generated by accessing or using the educational activities made available through the Service remain the exclusive property of Finanz. The User, using the Service, irrevocably assigns to Finanz all right, title and interest in such materials, including intellectual property rights. Any unauthorized use of the contents and materials owned by Finanz will constitute a serious breach of these Terms and Conditions and will entitle Finanz to take every measure, including judicial ones, to protect its rights. All rights not expressly granted are to be considered reserved.

“Finanz” and all other marks, including service marks, graphics and logos used in connection with the Service are trademarks or service marks of Finanz or their respective owners, and some of them are registered with the Trademark and Patent Office or other competent trademark authorities. Access to and use of the Service does not grant or provide the User with the right or license to reproduce or otherwise use the name of Finanz or any trademark, service mark, graphic or logo of Finanz or third parties, unless this is done with the express and prior written approval of the relevant rights holder.

Finanz may offer promotional codes (”Promotional Codes”) that allow the User to access certain services or advantages, from time to time. Unless otherwise indicated, the use of Promotional Codes is governed by these Terms and Conditions. By using or redeeming a Promotional Code, the User accepts and undertakes to comply with all applicable terms.

‍Supplier Code
‍In some cases, the User may receive a Promotional Code issued by Finanz through partners or authorized third parties (“Suppliers”). The use of the Promotional Code is subject to the terms and conditions established by Finanz, and Finanz reserves the right to suspend, modify or cancel the Promotional Code at any time. Any restrictions or additional requirements communicated by the Provider do not modify the terms established by Finanz and the User is required to comply only with the conditions indicated by Finanz.

‍General terms of promotional codesI
Promotional Codes have no cash value and cannot be redeemed for cash, for the reimbursement of existing subscriptions or for purchases already made. Any additional terms and conditions specific to a specific Promotional Code will be communicated upon delivery of the Code itself and, in the case of limited or sporadic offers, may be consulted in a dedicated section on the site or within the user's account. The use of Promotional Codes is personal and not transferable, unless otherwise indicated by the Supplier or Finance. In the event of a conflict between these Terms and Conditions and the specific terms of a Promotional Code, the specific terms of the Promotional Code will prevail.

“Kiwis” are virtual points that can be accumulated by the User by performing certain actions within the Service, such as, by way of example, completing quizzes or surveys, completing chapters, participating in special events (“Kiwi Party”) and continuous access to the app. The “Kiwis” can be used by the User exclusively to redeem digital rewards within the app or to obtain vouchers, tickets or other rewards offered by external partners, within the limits and in the manner defined by Finanz. For rewards offered by external partners, Finanz acts exclusively as an intermediary and is not part of the contract between the User and the partner, nor does it guarantee their content, quality, availability or benefits. The “Kiwis” have no cash value, cannot be converted into currency, are not refundable, cannot be transferred, transferred or otherwise alienated by the User. Finanz reserves the right, at its sole discretion, to modify, suspend, revoke or cancel the “Kiwis”, as well as to determine the conditions and methods for collecting rewards, without this implying any right to compensation or reimbursement for the User.

These Terms and Conditions are for an indefinite period and are effective as of registration. The user can withdraw from these Terms and Conditions at any time without paying any penalty and request the closure of their account by simple written communication to Finanz, without prejudice to the provisions of art. 4 (In-App Purchases) and art. 10 (Refund Policy).
Finanz reserves the right to suspend the execution or withdraw from these Terms and Conditions, as well as to close or suspend the use of the account or the Service at any time and with immediate effect if one of the conditions occurs:
a) communication of incorrect or false data by the User at the time of registration;
b) failure to communicate, in the continuation of the report, of the change in the data provided at the time of registration;
c) non-payment and/or incomplete payment of the subscription, including the case of non-refund/delayed charging for any reason on the payment method;
d) risk of fraud warned by Finanz;
e) any type of use of the account or the Service by the User in a manner that does not comply with the law, with existing contracts with Finanz and/or with good faith; causes of force majeure (such as, but not limited to, strikes, wars, pandemics, hacker attacks, interruption of computer systems for reasons not attributable to Finanz, etc.);
f) violation of the intellectual property rights or any other right of Finanz or its licensors, including the unauthorized reproduction, distribution, modification or exploitation of the content available through the Service;
g) violation of the obligations set out in articles 4, 6, 7 and 8.

‍Irrevocable closure: In case of suspension or closure of the account by Finanz pursuant to this section, the User acknowledges and accepts that such closure is definitive and irrevocable, with no possibility of reactivating the account or accessing the associated contents and services, without prejudice to any rights provided by law.

Finanz will transmit to the User, to the e-mail address indicated during registration and subsequently updated, any communication concerning the offer, provision and use of the services provided, including promotional or commercial communications strictly related to the same services. This e-mail address will constitute the primary and legally relevant channel for any information addressed to the User. If the User has also provided a valid telephone number, Finanz reserves the right to contact him through calls or messages (including SMS and WhatsApp technologies), in order to explain the functionality of the services, new opportunities for use as well as initiatives and offers dedicated to his user. The User undertakes to keep the addresses provided constantly updated and active, ensuring the receipt of communications mentioned above, recognizing their effectiveness for the purpose of the full and correct execution of these Terms and Conditions and the improvement of the experience of using the services offered by Finanz.

The User acknowledges and accepts that the personal data provided to Finanz will be processed in compliance with current legislation on the protection of personal data, including Regulation (EU) 2016/679 (GDPR) and the applicable national provisions, as detailed in Privacy Policy by Finanz. The User guarantees that the data provided is complete, true and updated and undertakes to maintain this obligation for the entire duration of the use of the Service. In the event of false, incomplete or outdated statements, or the use of the Service by minors in violation of these provisions, Finanz reserves the right, at its sole discretion, to temporarily suspend or deactivate the account, block access to certain features, and to take any legal remedy available for compensation for any damages resulting from such violations.

The User acknowledges that Finanz takes reasonable technical and organizational measures to protect personal data, but it cannot guarantee the absolute absence of unauthorized access or computer incidents, and declines all responsibility for damages deriving from malicious or negligent behavior on the part of the User.

The User may not assign these Terms and Conditions or delegate the execution of these Terms and Conditions to third parties in any form or assign to third parties the rights deriving from these Terms and Conditions without the prior written consent of Finanz.Finanz may delegate the execution of these Terms and Conditions, in whole or in part, to any parent company or subsidiary or subsidiary of Finanz and/or to any third party in charge, even without prior notice to the User. Finanz may also transfer these Terms and Conditions to any parent company or subsidiary or subsidiary of Finanz and/or to any third party.

These Terms and Conditions are governed by and interpreted in accordance with Italian law. Except as provided for by consumer protection legislation, for any dispute relating to the validity, interpretation or execution of these Terms and Conditions, the Court of Milan has exclusive jurisdiction. Users who qualify as consumers pursuant to Legislative Decree 206/2005 (Consumer Code) keep the right to go to the Court of their place of residence or domicile and are without prejudice to all the rights recognized by Italian and European legislation to protect consumers.

These Terms and Conditions constitute the entire agreement between Finanz and the User regarding the subject matter of this document and replace any previous communication, agreement or understanding, written or oral, relating to the same subject matter. Any failure or delay in exercising a right or faculty deriving from these Terms and Conditions does not in any case constitute a waiver of this right or faculty, nor does it prevent the subsequent exercise of the same. The User acknowledges that some additional services or promotions offered through the Service may be subject to specific Terms and Conditions, to which the User will be bound in the use of these services. In the event of a conflict between these Terms and Conditions and those specific to the additional services, the specific conditions relating to those services will prevail, without prejudice to the mandatory rights of the User established by law. If any provision of these Terms and Conditions is held invalid, ineffective or unenforceable by a court or other competent authority, that provision will be limited or eliminated to the minimum extent necessary, so that the remaining Terms and Conditions remain in full force and effect.
